1. Acceptance of Terms: By accessing our website or engaging Arrays’ Studio for services, you agree to be bound by these Terms and Conditions.

2. Services: Arrays’ Studio provides web development, design, and related digital services. The specific scope of work will be defined in a separate proposal or invoice provided to the Client.

3. Client Obligations: The Client agrees to provide all necessary assets (text, images, credentials) in a timely manner. Delays in providing these assets may result in a delay in the project delivery date.

4. Payments:

• Deposit: A non-refundable deposit of 40% is required before work begins.

• Final Payment: The remaining balance is due upon project completion but before the final website migration/handover.

• Late Fees: We reserve the right to charge a late fee on invoices significantly overdue.

5. Intellectual Property (IP): Upon full payment, Arrays’ Studio grants the Client ownership of the final website design and code. However, Arrays’ Studio retains the right to use the work in our portfolio and marketing materials. We retain ownership of any pre-existing code libraries or tools used.

6. Revisions: The project price includes 2 rounds of revisions. Additional revisions or “scope creep” (requests outside the original agreement) will be charged at our standard hourly rate.

7. Limitation of Liability: Arrays’ Studio is not liable for any damages arising from the use or inability to use the services, including but not limited to server downtime, third-party software updates (e.g., WordPress plugin breakages), or security breaches caused by weak Client passwords.

8. Governing Law: These terms shall be governed by the laws of West Bengal, India.
